3. Client Responsibilities and Cooperation

Timely client participation is crucial for successful service delivery:

• **Information Accuracy:** Provide complete, accurate, and timely project details, credentials, and necessary access (e.g., website backend, analytics, ad accounts).
• **Timely Approvals:** Respond to requests for feedback, approvals (design, content, strategy), and direction within the agreed-upon timeframe. Delays may impact project timelines.
• **Financial Obligation:** Ensure all payments are made promptly according to the agreed-upon payment schedule and invoice due dates.
• **Legal Rights:** Guarantee that all materials, content, trademarks, or intellectual property supplied to Modulation Digitall for use in the project are rightfully owned or licensed by you.

4. Payment and Billing Terms

• **Project Work:** Generally requires a **50% upfront deposit** to commence work, with the remaining balance due upon completion or as per agreed-upon milestones.
• **Monthly Retainers:** Billed in advance, typically on the **1st of each month**, covering services for that month.
• **Payment Methods:** All fees must be paid via the approved payment channels specified on the invoice (e.g., secure payment gateways, bank transfer).
• **Late Fees:** Invoices outstanding past the due date may incur a late fee or lead to the temporary suspension of services until the account is settled.

5. Refund and Cancellation Policy

Our refund and cancellation procedures are governed by our separate **Refund Policy** document. Key points include:

• No refunds for services where the agreed-upon work, research, or execution phase has already commenced.
• Monthly service retainers are non-refundable once the current month's work has been initiated.
• Partial refunds may only be considered during the very early stages of a project (e.g., before design commences).
• All refund requests are subject to review and processing timelines outlined in the Refund Policy.

6. Intellectual Property & Ownership

• **Company IP:** All methodologies, proprietary tools, unreleased code, non-client-specific templates, and underlying intellectual property developed or owned by Modulation Digitall remain the property of the Company.
• **Client Ownership:** Upon **receipt of full and final payment**, the Client will receive full ownership rights for the specific website, content, creatives, and custom-developed strategies created explicitly for their project.
• **License for Usage:** You grant Modulation Digitall a royalty-free, non-exclusive license to use your business name, logo, and project details in our portfolio and marketing materials.

7. Limitation of Liability and Disclaimer

**Modulation Digitall** provides services on an "as is" and "as available" basis. We offer no guarantees regarding specific performance outcomes (e.g., specific search ranking positions, conversion rates, or sales volume) as digital marketing success is influenced by external factors beyond our control (e.g., search engine algorithm changes, competitor actions, market shifts).

• The Company is not liable for indirect, incidental, or consequential damages arising from the use or inability to use our services.
• The Company is not responsible for losses due to third-party platform failures (e.g., Google outages, hosting downtime) or algorithm updates.
• Our total liability to the Client shall not exceed the total fees paid by the Client to Modulation Digitall for the specific service from which the liability arose.

8. Suspension and Termination

Modulation Digitall reserves the right to immediately suspend or terminate services, and this Agreement, if the Client:

• Fails to make payments within the agreed-upon terms.
• Breaches any of these Terms & Conditions, the SOW, or other Company policies.
• Engages in unauthorized, illegal, or abusive conduct towards the Company or its personnel.
• Provides misleading or false information that compromises the integrity of our service delivery.

9. Modifications to Terms

We reserve the right to revise these Terms & Conditions at any time. We will notify clients of significant changes via email or prominent website notification. Your continued use of the website or services after such modifications constitutes your acceptance of the new Terms.
